LICENSEE has purchased an equipment and/or a component from INFICONhereafter referred to as HARDWARE.2. The SOFTWARE allows the HARDWARE to be computer controlled.3. This contract defines the conditions under which INFICON grants theLICENSEE the right to use the SOFTWARE required for computer control of theHARDWARE.II Agreement1. Object of the AgreementThe SOFTWARE (program and documentation) supplied with the HARDWAREremains the property of INFICON.
INFICON grants the LICENSEE nontransferable and non-exclusive rights to the use of this SOFTWARE according tothe conditions given herein for an unlimited period of time but only for theHARDWARE described under Section I of this agreement2. License FeesThe license fees for the use of the SOFTWARE under discussion in thisagreement are contained in the basic price of the HARDWARE.
If thisSOFTWARE is supplied separately, the license fees are included in the price ofthe SOFTWARE.Upon payment of the basic price, the LICENSEE is granted the right to the useof this SOFTWARE for an unlimited period of time on the HARDWARE accordingto the following conditions.No counseling, introductory support, training or maintenance is included in thelicense fee. Inficon will only offer these services on the basis of a separate,written agreement according to the conditions in force at INFICON at thatparticular point in time. However, INFICON is not obligated to enter into suchan agreement.3QUADERA HTML Help3. CopyrightINFICON has the exclusive copyright on the SOFTWARE (including the sourcecode) under discussion in this agreement.
The contract partners agree that thelicensed SOFTWARE may only be used within the framework of the permissionoutlined in this agreement. Any other use not expressly stated in theagreement is a breach of both, the copyright and the agreement and will lead toan immediate termination of the license by INFICON with INFICON beingentitled to full compensation from the LICENSEE.The LICENSEE recognizes that the codes for the SOFTWARE are a INFICONtrade secret. Any use of these codes by the LICENSEE not expressly permittedin the agreement constitutes a disclosure of this trade secret making theLICENSEE fully responsible to INFICON for damages in the declared amount ofthe investment and development costs for the SOFTWARE.
INFICON rights asdeclared in Section II, Paragraph 1 also apply in this case.The LICENSEE is obligated to undertake any and all measures required toprevent his employees from causing any of the above described breaches ofcontract, either during or after the period of their employment in theLICENSEE's company.4. User RightsEach licensed SOFTWARE under discussion in this contract has been developedby INFICON for use on the previosly defined HARDWARE, its peripherals and itsoperating system. The conditions of use required by INFICON are specified inthis agreement and in the accompanying SOFTWARE description.The LICENSEE may make as many copies of the SOFTWARE description asneeded.
However, all descriptions, documentation, and one backup copy of thesoftware remain the property of INFICON.The rights granted in this license are not transferable.5. Warranty and Liability5.1 Scope of the WarrantyINFICON warrants that the SOFTWARE under discussion in this agreement willfunction according to the SOFTWARE specification laid down in the agreementand the conditions of use specified.Both parties recognize that software errors can occur even when extreme careis taken.5.2 Warranty Claims by the LICENSEEIf the object of the agreement does not meet the guaranteed specificationsgiven with it, the LICENSEE only has the right to a correction by INFICON, andthis only within the period of the warranty for the HARDWARE.
If theSOFTWARE is supplied separately from the HARDWARE, the warranty time shallbe 90 days from the date of delivery.4License AgreementINFICON excludes any right to warranty service and liability claims if theLICENSEE or any third party makes any modification in the license productand/or the HARDWARE for which it was intended.Any further warranty claims are expressly excluded. This exclusion includes inparticular any liability for damage to the HARDWARE and/or SOFTWARE itself aswell as any damage that may occur as a result of the use of this SOFTWARE.6.
Additional SoftwareINFICON will supply additional SOFTWARE at the cost of an additional licensefee.The conditions of this contract as described above also apply to any additionallysupplied SOFTWARE.7. Changes and Additions to the AgreementOnly written changes and additions are binding.8. Gouverning LawThis agreement is subject to Swiss Law.9. Exclusive Validity of this AgreementThe LICENSEE states that he has read this agreement and understands itscontents. In opening the sleeve the LICENSEE indicates that he accepts thisagreement as the only valid agreement between the two parties concerning theSOFTWARE under discussion therein. Any earlier oral or written agreements arenullified by this agreement.

These programs are called up and closedindividually as the need arises. In QUADERA®, on the other hand, the entirefunctionality is always available. It is no longer necessary to call up or close individualcomponents.
