The Licensee undertakes withoutundue delay to notify the EU about any action brought against the Licensee as aconsequence of the exercise by the Licensee of the rights granted herein. The EUmay, at its sole discretion, agree to provide the Licensee with any assistance whichthe EU considers to be appropriate.9. intellectual property rightsFo9.1 OS SIS ICD IPRs are the exclusive property of the EU and/or ESA respectively, asindicated in Annex D.1.9.2 The Licensee acknowledges that ownership in the OS SIS ICD IPRs as described inAnnex D.1 shall remain with the respective owners and that, therefore, the Licenseeshall not acquire title of any intellectual property right on the OS SIS ICD IPRs underthe present Licence.
Pending the duration of the present Licence, the Licensee shallnot challenge the validity of OS SIS ICD IPRs, or support third parties in such achallenge.60© European Union 2014Document subject to terms of use and disclaimers p. i-iiOS SIS ICD, Issue 1.2, dd.mm 201410. indemnification10.1 Subject to Article 10.2, the Licensee shall defend at its own expense any claim, suitor proceeding brought against the Licensee, insofar as it arises from the Licensee’suse of the OS SIS ICD IPRsAFCoTn11. permitstion10.2 In the event any claim, suit or proceeding is brought against the Licensee basedon a claim that any portion of the OS SIS ICD IPRs constitutes an infringement ofpatent or copyright, or other intellectual property rights of any third party arisingunder the applicable law, the EU (and/or ESA, in relation to the OS SIS ICD IPRsthey respectively own) shall have the right at their option to assume the defence ofsuch action.
In such event, the EU shall pay all damages, costs and expenses finallyawarded to the third parties against the Licensee but shall not be responsible forany compromise made without its consent.sulta11.1 The necessary steps for obtaining all permits and licences required for theimplementation of this Licence, under the laws and regulations in force at the placewhere the commercial activities of the Licensee are to be provided, shall be theexclusive responsibility of the Licensee.12. applicable law and arbitrationDR12.1 This Licence shall be governed by European Union law, complemented wherenecessary by the law of Belgium.lic12.2 Any dispute, controversy or claim arising under, out of or relating to this Licence andany subsequent amendments thereof, including, without limitation, its formation,validity, binding effect, interpretation, performance, breach or termination, as wellas non-contractual claims, shall be submitted to mediation in accordance with theWIPO Mediation Rules.
The place of mediation shall be Brussels. The language to beused in the mediation shall be English.rPub12.3 If, and to the extent that, any such dispute, controversy or claim has not been settledamicably and one of the parties to this Licence so notifies the other in writing,such effort shall be deemed to have failed. In that case, each party may initiateproceedings before the General Court in Luxembourg, subject to an appeal to theCourt of Justice of the European Union.13. miscellaneousFoThe invalidity of a provision of this Licence is not fundamental to its performance, the validityand enforceability of the remaining provisions hereof shall not in any way be affected thereby,it shall not relieve the Licensee of its obligations under the remaining provisions of this Licence.14.
